DSHG Sonic provides AI-native startup studio services including but not limited to:

• Studio Co-Builds: Co-building AI-native products with founders in exchange for a blend of cash and equity.
• Fractional CTO Services: Senior technical leadership on a part-time engagement basis.
• Custom AI Engineering: Custom LLM integration, agentic workflows, and AI product development for funded companies.

Specific terms, scope of work, deliverables, payment, and equity arrangements for individual engagements are governed by separate written agreements signed by both parties. Nothing on this website constitutes a binding offer or commitment to provide services.

3. Intellectual Property

All content on this website — including text, graphics, logos, images, code, and design — is the property of DSHG Sonic LLC or its content suppliers and is protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from this website without our prior written permission.

With respect to work product created under a separate engagement agreement: IP ownership, licensing, and assignment will be governed by that specific engagement agreement. In the absence of an explicit written agreement, DSHG Sonic retains all intellectual property rights in work created.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Sarasota County, Florida, and you hereby consent to the personal jurisdiction and venue of such courts.

9. Dispute Resolution

In the event of any dispute arising out of or relating to these Terms or your use of the website, the parties agree to attempt to resolve the dispute informally first by contacting us at info@dshgsonic.com.

If the dispute cannot be resolved informally within 30 days, the parties agree that any dispute shall be resolved by binding arbitration in Sarasota County, Florida, under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.

10. Entity Structure

DSHG Sonic LLC is a Florida limited liability company. The following brands operate under or in affiliation with DSHG Sonic LLC:

• DSHG Sonic — operated by DSHG Sonic LLC (Florida).
• A Digital Agency — a DBA (fictitious name) of DSHG Sonic LLC.
• AI Virtual Ops — a DBA (fictitious name) of DSHG Sonic LLC.
• Podcast Inc — operated by Podcast LLC, a separate Florida entity affiliated with DSHG Sonic.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of the website after changes are posted constitutes your acceptance of the modified Terms.
